Decuma Terms of Service
1. Contractual Agreement and Acceptance
These Terms of Service ("Terms") constitute a legally binding contractual agreement between You ("User", "Consumer") and FRAYNE LABS LTD ("We", "Us", "Our"), governing Your download, installation, access to, and utilization of the Decuma mobile application (Application ID: com.fraynelabs.decuma, the "App" or "Service"). By downloading, installing, or utilizing Decuma, You affirmatively agree to be bound by these Terms. If You do not agree to these Terms, You must immediately cease using and uninstall the App.
2. Provision of Digital Content (UK Consumer Rights Act 2015)
If You are a consumer residing in the United Kingdom, Your statutory rights under the Consumer Rights Act 2015 (CRA) apply to Your use of the App. We guarantee that the digital content provided via Decuma will be of satisfactory quality, fit for its intended personal productivity and task-management purpose, and substantially match the material descriptions provided in Our official application store listings.
3. Offline-First Architecture and User Data Responsibility
Decuma is engineered as a local, offline-first application. All workspaces (spaces), tasks, notes, Cartesian coordinates, histories, and local file attachments are stored exclusively on Your physical device inside an on-device SQLite database (decuma.sqlite) and private application storage.
- No Cloud Account or Server Sync: FRAYNE LABS LTD operates no user accounts, maintains no remote cloud synchronization servers for Decuma, and does not hold backup copies of Your task ledger.
- Backup Responsibility: You are solely responsible for maintaining device-level backups and utilizing Decuma's built-in automatic folder backup and JSON restore tools (Settings (···) → BACKUP) to safeguard Your data against device loss, theft, operating system resets, app uninstallation, or hardware failure.
4. In-App Purchases (Decuma Pro) and the DMCC Act 2024
Decuma offers an optional one-time paid upgrade, Decuma Pro (decuma_pro_lifetime), unlocking unlimited spaces, additional grid frameworks, and full historical telemetry:
- Transparency and One-Time Billing: Decuma Pro is a one-time, non-recurring lifetime unlock. All applicable prices and statutory taxes are displayed prominently in Your local currency via the native store purchase sheet prior to confirmation, in strict compliance with the Digital Markets, Competition and Consumers Act 2024 (DMCC). There are no hidden fees or auto-renewing subscription traps.
- Store Platform Administration: All financial transactions and receipt validations are processed exclusively by the application store through which You acquired the App (Google Play Store or Apple App Store). FRAYNE LABS LTD never collects or stores Your payment instruments.
- Cooling-Off Rights and Refunds: Refund requests and statutory consumer cancellations under the Consumer Rights Act 2015 and DMCC Act 2024 are administered directly through Google Play or Apple App Store support in accordance with their respective store billing rules and applicable mandatory law. You may restore a previously purchased Decuma Pro entitlement on compatible devices linked to Your store account at any time via the in-app Restore Purchases control.
5. Optional Bring-Your-Own-Key (BYOK) AI Integrations
Decuma enables You to optionally supply Your own API keys for third-party artificial intelligence providers (Google Gemini, OpenAI, or Anthropic Claude) in Settings (···) → LLM / KEY to assist with task grouping, deadline extraction, stem anchor synthesis, title polishing, and semantic board search:
- Direct Third-Party Contractual Relationship: Your configuration and usage of an external API key is governed exclusively by Your separate agreement, rate limits, and billing terms with the respective third-party AI provider (Google, OpenAI, or Anthropic). You are solely responsible for any API usage charges incurred on Your provider account.
- Direct Device-to-Provider Transmission: Prompts and task context are transmitted directly from Your device to Your chosen provider's API endpoints over TLS/HTTPS without routing through any FRAYNE LABS LTD server.
- Probabilistic Output Disclaimer: Generative language models produce probabilistic outputs and may misinterpret dates, recurrence intervals, task groupings, or text details. FRAYNE LABS LTD makes no representations or warranties regarding the accuracy, completeness, or reliability of third-party AI transformations. You remain responsible for verifying scheduled dates and task details.
6. Local Notifications, System Alarms, and Deadlines
Task due-date alerts (including 09:00 AM default due notifications and specific due-hour reminders), persistent pinned task notifications, and waking-hour task nudges are scheduled locally via Your device's native operating system alarm mechanisms. Delivery and exact timing of local notifications are subject to operating system battery optimization policies, Do Not Disturb settings, background execution restrictions, and notification permissions granted by You. FRAYNE LABS LTD is not liable for missed deadlines, reminders, or obligations resulting from suppressed or delayed device notifications.
7. Intellectual Property Rights and Acceptable Use
All proprietary source code, visual 2x2 Cartesian task matrix designs, decimal indexing engines, user interface layouts, icons, graphics, and branding associated with Decuma are the exclusive intellectual property of FRAYNE LABS LTD and are protected by UK and international copyright and intellectual property laws.
- Limited License: You are granted a personal, non-exclusive, non-transferable, revocable license to install and use Decuma on devices You own or control strictly for lawful personal or internal productivity purposes.
- Restrictions: Except to the extent expressly permitted by mandatory applicable law, You shall not reverse-engineer, decompile, disassemble, modify, redistribute, or create derivative works of the App, nor circumvent its in-app purchase entitlement mechanisms.
8. Limitation of Liability
To the maximum extent permitted by applicable law, FRAYNE LABS LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages—including loss of profits, loss of local task data, missed deadlines, or business interruption—arising out of Your use of, or inability to use, the App.
Statutory Preservation: Nothing in these Terms seeks to unlawfully exclude or limit Our liability for death or personal injury caused directly by Our proven legal negligence, fraud or fraudulent misrepresentation, or any statutory consumer rights that cannot be lawfully excluded or limited under the United Kingdom Consumer Rights Act 2015.
9. Dispute Resolution, Governing Law, and Mandatory Arbitration
9.1 Jurisdictional Governance for UK and EEA Residents:
If You reside in the United Kingdom or the European Economic Area, these Terms are governed by and construed strictly in accordance with the laws of England and Wales. Any disputes arising out of or relating to these Terms or the App shall be subject to the exclusive jurisdiction of the courts of England and Wales (without prejudice to any mandatory consumer forum rights in Your country of residence).
9.2 Mandatory Binding Arbitration for US and Rest of World Residents:
If You reside in the United States or any jurisdiction outside the UK/EEA, any claim, dispute, or controversy arising out of or relating to these Terms, the breach thereof, or the use of the App shall be resolved by final and binding individual arbitration:
- Arbitration Rules and Administration: The arbitration will be administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules.
- Virtual Hearings Default Mechanism: In strict adherence to modern dispute resolution guidelines, all arbitration proceedings, including preliminary conferences and evidentiary hearings, shall be conducted exclusively by virtual means (videoconference or teleconference) unless both parties mutually agree otherwise or the arbitrator determines an in-person hearing is an absolute legal necessity.
- Class Action and Representative Waiver: You and We agree that any arbitration or legal proceedings will be conducted strictly on an individual basis and not in a class, consolidated, or representative action. The arbitrator possesses no authority to consolidate more than one person's claims or preside over any form of representative proceeding.
